Terms and Conditions & Privacy Notice
Version 1.2 · Effective 14 September 2026
1. Platform and proposed structure
These Terms govern the Shania Developments Limited Asset Tokenization Platform. By creating an account, signing in, submitting KYC information or using the platform, you agree to them. Shania Developments Limited is the proposed operator. Each approved property is intended to be held through a separate ring-fenced special-purpose vehicle (“SPV”). The final issuer, operator, custodian, legal structure and token classification will be stated in the approved documents for each offer.
2. Accounts and eligibility
You must provide accurate information, protect your credentials and report unauthorized use. Transactions are unavailable until KYC approval. Onboarding and investment remain subject to identity and beneficial-owner verification, AML/CFT, sanctions and politically exposed person screening, source-of-funds checks, investor classification, suitability or appropriateness, affordability and ongoing monitoring. We may suspend access for security, compliance, fraud prevention or legal reasons.
3. What a token represents
For an approved offer, digital investment units (“tokens”) record only the proportional economic and legal rights in the applicable offer and SPV documents. A token is not the physical property and is not presented as cryptocurrency. Voting, income, information, transfer, redemption and exit rights arise only from the final approved documents. Platform records must reconcile with the authoritative investor and beneficial-ownership register.
Intended assets are completed, income-generating properties in Zambia, subject to independent title, legal, lease, tenant, tax, insurance, engineering, valuation and financial due diligence and SEC approval. Any property, price, rent, yield or distribution shown before approval is illustrative, not a forecast or guarantee.
4. Subscription money and custody
For an approved offer, subscription money is intended to enter only the designated, independently verified custodian bank account, segregated from Shania and provider operating accounts. It must not fund Shania’s operating expenses and may be used only for the approved acquisition and disclosed costs, or refunded if acquisition fails. Outward transfers require documented acquisition or refund evidence, maker-checker controls, custodian verification and any SEC-approved release control.
Custodian balances, subscriptions and token records are intended to be reconciled daily. Unresolved differences may cause suspension and escalation. Never pay a personal account or an account communicated through an unverified channel.
5. Returns and reserves
The SPV is expected to collect rent and deduct verified operating expenses, taxes, insurance, management costs and approved reserves. Subject to the final offer, the proposed policy is a monthly pro-rata distribution of 85% of distributable net rental income to eligible holders, with 15% retained by the SPV for capital expenditure and property requirements. Final documents may vary this policy.
Statements should identify gross rent, occupancy or arrears, expenses, taxes, fees, reserves, distributable income, eligible tokens, payment per token and withholding. Rent and values may fall, expenses may rise, tenants may default, and distributions may be reduced, delayed or suspended. Appreciation and resale are not guaranteed.
6. Fees, costs and taxes
Fees are not finalised. An approved raise may include only disclosed property price, legal fees, property transfer tax, valuation, due diligence, acquisition commissions and other approved costs. Platform, administration, property-management, payment and secondary-market fees may apply only as approved and disclosed. Each offer must state every fee, recipient, timing, treatment and effect. Tax treatment depends on the structure and investor; obtain independent advice.
7. Payments and payouts
Banks, mobile-money operators and payment providers may process transactions. Verification, limits, fees and processing times apply. Payouts above K10,000 require valid bank details. Transactions may be delayed, rejected, reversed or manually reviewed.
8. Principal risks
- Capital: loss of some or all capital.
- Property and tenant: vacancy, default, damage, uninsured loss, maintenance, title defects and adverse valuation.
- Liquidity and exit: tokens may be difficult or impossible to sell; secondary trading requires full tokenisation and separate SEC approval.
- Regulatory: conditions may change and testing may be modified, suspended or not permanently authorised.
- Technology and cyber: failure, fraud, attack, data loss, unauthorized access or provider outage.
- Concentration and currency: property-specific concentration and exchange-rate effects.
- Tax and legal: classification, rights, enforcement and tax treatment may change.
9. Failed acquisition, exit and critical failure
If an approved acquisition fails, subscriptions will stop, provisional tokens be cancelled, custody and investor ledgers reconciled, and money returned under approved terms, less only legally permitted and disclosed deductions. After acquisition, possible outcomes include permanent authorisation, transfer to a regulated operator, buyout, property sale, redemption or orderly wind-down, subject to approval, independent valuation, conflict controls and fair treatment. In critical failure, activity may be suspended, assets and records protected, investors and regulators notified, and an independent administrator, receiver or replacement servicer appointed where required.
10. Information collected and purposes
We collect account/contact data, identity and KYC documents, next-of-kin/emergency-contact data, banking/payment information, transaction and ownership records, communications, audit logs, device/security information and legally required information. We process it to operate and secure accounts, verify KYC, administer ownership and investments, process transactions, communicate, prevent fraud, maintain records, comply with law and regulators, and improve reliability. Legal bases may include consent, contract, legal obligation, legitimate interest, public interest or vital interests.
11. Storage, security and retention
We apply reasonable technical and organisational safeguards, restrict access and retain identifiable data only as long as necessary for service, security, disputes, regulatory reporting, audit and legal obligations. Data is then securely deleted or anonymised where permitted.
12. Disclosure
We will not share personal data without consent unless required or permissible by law. Permitted recipients may include SEC Zambia, competent authorities, courts, law enforcement, banks, payment providers, professional advisers and contracted processors where necessary for operation, compliance or lawful rights. Providers must use data only for authorised purposes with appropriate safeguards.
13. Data rights
Subject to law, you may request access, correction or erasure; object to or restrict processing; withdraw consent where consent is the basis; and complain to the Data Protection Commissioner. Withdrawal does not invalidate earlier lawful processing, and legally required records may be retained.
14. Availability and liability
We do not promise uninterrupted availability. To the extent permitted by law, we are not responsible for market movements, provider outages, inaccurate user data, events beyond reasonable control or disclosed investment risks. Platform information is not individualized financial, legal or tax advice.
15. Complaints and official communications
Official notices will use verified platform channels. Material incidents will be escalated and notified to regulators and affected investors where required. Complaints contact details and the SEC Sandbox reference will be published before live testing where required.
16. Changes, document priority and law
We may update these Terms and request renewed consent where required. If these Terms or a Key Facts summary conflict with an SEC-approved offer, SPV constitutional document or applicable law, the approved document or law prevails. These Terms are governed by Zambia law. Obtain independent legal, tax and financial advice before investing.
